These Terms govern the relationship between the Brunei Cyber Security Association ("BCSA") and the entity applying for or executing a sponsorship package ("the Sponsor"). The "Agreement" is the contract constituted by the Sponsor's application, BCSA's acceptance and these Terms; the "Effective Date" is the date BCSA confirms acceptance of the application in writing; the "Event" is the CySec 2026 conference organised by BCSA; the "Sponsorship Fee" is the amount payable as specified in the package or invoice; and "Sponsorship Benefits" are the marketing, branding and promotional entitlements set out in the package.
The Sponsor shall pay the Sponsorship Fee in full to BCSA on or before 16 October 2026. All payments are made in Brunei dollars (BND); the Sponsor is responsible for all banking, transfer, currency-conversion and statutory charges, and the fee is net of all such charges. If any portion of the fee is not paid by the due date, BCSA reserves the right to charge interest on the overdue amount at 5% per month, and the Sponsor shall indemnify BCSA against all reasonable costs of recovering overdue amounts (including legal fees on a full-indemnity basis).
The Sponsor grants BCSA a non-exclusive, worldwide, royalty-free, revocable licence to use the Sponsor's name, logo and trademarks (the "Sponsor Marks") solely to market, promote and document the Event. BCSA will display the Sponsor Marks in line with any brand guidelines provided in advance and will not alter or distort them without the Sponsor's prior written consent. Nothing in this Agreement transfers either Party's intellectual property to the other; all goodwill from BCSA's use of the Sponsor Marks inures to the Sponsor.
If the Event is cancelled or materially altered due to circumstances within BCSA's reasonable control, the Parties will negotiate in good faith for thirty (30) days to reallocate the fee to another BCSA initiative (less reasonable expenses already incurred); failing agreement, BCSA will issue a pro-rata refund of the unused portion. Sponsorship commitments are otherwise firm and non-refundable: a Sponsor that withdraws for any reason remains liable for the full Sponsorship Fee and any amount already paid is forfeited. If the Event is postponed to a date demonstrably unsuitable for the Sponsor, the Sponsor may request in writing that the fee be credited toward another BCSA event, valid for twelve (12) months from the original date.
Subject to Clause 5.3 of the full terms, neither BCSA, the venue provider, nor their officers, directors, employees or agents are liable for any indirect, incidental, special or consequential damages, loss of profits, business opportunity or data arising in connection with the Event. Each Party shall indemnify the other against third-party claims arising directly from its own gross negligence, wilful misconduct or breach of statutory duty, subject to prompt written notice, control of the defence, and reasonable cooperation.
Each Party will keep confidential all non-public, proprietary or sensitive information disclosed by the other during the Agreement — including commercial terms, technical data and event strategy ("Confidential Information") — and will not disclose it to any third party without prior written consent, except to professional advisors or as required by law. Where disclosure is legally compelled, the disclosing Party will give prompt notice where permissible so protective measures can be sought.
Both Parties will comply with the Personal Data Protection Order (PDPO) of Brunei Darussalam. Personal data BCSA collects from the Sponsor's representatives is used solely for administering the Event, communication and safety coordination, and is not shared with third parties without explicit consent or lawful basis. BCSA will apply appropriate technical and organisational measures to protect personal data against unauthorised access, alteration, disclosure, loss or destruction.
Neither Party is liable for delay or failure to perform (other than payment obligations) caused by a "Force Majeure Event" — any event beyond the affected Party's reasonable control, including acts of God, war, riots, strikes, epidemics or pandemics, government or health mandates, natural disasters, fire, or catastrophic failure of public utilities or the venue. The affected Party must give written notice within seven (7) days and make reasonable efforts to mitigate.
BCSA reserves the absolute right to review, reject or terminate any sponsorship application or agreement at its sole discretion without disclosing reasons. This Agreement is the entire understanding between the Parties and supersedes prior discussions; amendments must be in writing and signed by both Parties. If any provision is held invalid, the remainder stands. No delay in exercising a right operates as a waiver. The Sponsor may not assign or sub-contract its rights or obligations without BCSA's prior written consent.
This Agreement is governed by and construed in accordance with the laws of Brunei Darussalam. The Parties will attempt in good faith to resolve any dispute by negotiation; if unresolved within thirty (30) days, it will be finally resolved by the exclusive jurisdiction of the Courts of Brunei Darussalam.
Except for the standard promotional materials set out in the Sponsorship Benefits, neither Party will issue any press release, media statement or public announcement referencing the specific financial details of this Agreement, or use the other Party's name in general marketing, without the other Party's prior written review and approval.
